 TERMS OF SERVICE

The following terms will set forth an agreement between SNAP Photobooth (‘Provider’) and the client (‘Client’), together (‘the Parties’), for photo booth services for an event taking place at  the location (‘the Event’), as described in the attached Scope of Service document). This written agreement sets the full, written intention of both Parties and supersedes all other written and/or oral agreements between the Parties.

1.SERVICE PERIOD

The Provider agrees to have a photo booth operational for a minimum of 80% during this period; occasionally, operations may need to be interrupted for the maintenance of the photo booth. Such interruptions will be limited to a reasonable timeframe.

2.PAYMENT

2.1 All hires are subject to a non-refundable deposit of £100, unless otherwise agreed between the Provider and the Client/A non-refundable reservation fee of £100 is due upon the signing of this agreement. The remaining amount is due 30 days in advance of the Client's Event. 

2.2 Payment is due as follows:

Within 30 days of the event – 50% of total amount due.

Any balance due is payable in full within 30 days prior to the Event start date.

2.3 If the Client seeks to use the photo booth equipment for a time period in excess of the service period agreed to in Scope of Service document attached, additional coverage in rental time will be billed to the Client at the following rate: £75 per hour. Payment for any service extension must be paid before additional hours are provided.

2.4The Provider reserves the right to charge statutory interest on all overdue payments at 8% above the Bank of England base rate as per the provisions laid out in the Late Payment of Commercial Debts (Interest) Act 1998. In the event of non-payment, the Provider retains the right to attempt collection through the courts. Purchaser will be held responsible for all court fees, legal fees, and collection costs incurred by the Provider. 

3.DATE CHANGES & CANCELLATIONS

3.1Any request for a date change must be made in writing at least 30 days in advance of the original Event date. A change is subject to photo booth availability and receipt of a new Service Contract. If there is no availability for the alternate date, any deposit paid will be forfeited if the agreement is cancelled.

4.ACCESS, SPACE & POWER FOR PHOTO BOOTH

4.1 The Client will be responsible for pre-arranging and providing the following:

•An appropriate space for (8 feet by10 feet by 9 feet high) and access to the photo booth at the Event's venue. Access for photo booth delivery will be made available 2 hours before the start of the Event. 

•Ensuring there are no stairs or other obstacles that will make delivery and set up of the photo booth unachievable.

•Electric power for the Photo Booth. (240V, 13 amps, 3 prong outlet), within 10m of desired location for each photo booth operation.

4.2 Hired equipment will be set-up in one location only as agreed, and will not be moved once established

5.EQUIPMENT & SAFETY 

5.1All equipment remains the property of the Provider at all times.

5.2The Provider reserves the right to refuse delivery if the venue is deemed to be unsuitable by the Provider’s delivery personnel or if the Client has failed to notify the Provider of any delivery obstruction such as stairs or excessive loading distances from the Provider’s vehicle to the installation site. In such a case, no refund will be given and the full hire fee will be due. 

5.3The Provider reserves the right to cease operation and remove hired equipment from site if at any time a representative of the Provider determines that the conduct of guests or personnel of the Client endangers the safety of others or the safety of the hired equipment. In such cases, no refund will be given and full fee will be due to the Provider. The Client acknowledges that he/she shall be responsible for any damage or loss to the Provider's equipment caused by any misuse by the Client or its guests. 

6.NEGATIVES AND COPYRIGHTS

6.1Unless otherwise specifically agreed, the Provider has: 

•sole and exclusive right to hold all negative materials, transparencies and digital files and make additional reproductions.

•sole and exclusive right to apply for copyright protection for all or any part of pictures taken by the Provider’s photo booth.

•has the right to use the image materials taken by the Provider’s photo booth and reproductions therefrom for the purposes of advertising, creating and/or displaying samples, editorial or art displays, digital scanning, internet and/or general display.

7.INDEMNIFICATION & LIABILITIES

7.1The Client agrees to, and understands the following:

•The Client will indemnify the Provider against any and all liability related to the Client's Event during or after the Client's Event. 

•The Client hereby releases, discharges and agrees to save harmless the Provider from any liability that may occur in the taking of pictures at the Client’s Event or in any subsequent processing thereof, as well as any publication thereof, including without limitation any claims for libel or invasion of privacy. 

•The Client will indemnify the Provider against any and all liability associated with the use of pictures taken within the photo booth, by its representatives, employees or affiliates at the Client's event.

•All guests using the photo booth give to the Provider, via the Client, right and permission to copyright and use, photographic portraits or pictures of any photo booth user who may be included intact or in part, for illustration, art, promotion, advertising, trade, or any other purpose. 

•The Provider accepts no liability for any damage or loss of the personal property or any injury arising from the use of the hired equipment.

7.2IN THE EVENT THAT THIS ORDER CANNOT BE COMPLETED DUE TO AN ACT OF GOD; STRIKES OR OTHER LABOUR DISTURBANCES, SEVERE WEATHER CONDITIONS OF ANY TYPE; RIOTS OR CIVIL DISTURBANCES; ACTION OR REGULATION BY ANY LEGISLATIVE BODY, ANY EVENT CONSIDERED A "FORCE MAJEURE"; OR ANY OTHER EVENT OR ACT OUTSIDE THE CONTROL OF THE PROVIDER, THE PROVIDER’S LIABILITY TO THE CLIENT SHALL BE LIMITED TO RETURN OF THE CLIENT’S DEPOSIT. IN THE EVENT THAT THIS ORDER CANNOT BE COMPLETED THE PROVIDER’S LIABILITY TO THE CLIENT SHALL BE LIMITED TO THE RETAIL VALUE OF THE CLIENT 'S ORDER AS SET FORTH HEREIN. NO FURTHER COMPENSATION WILL BE PAID.

7.3In the event that the Provider is unable to supply a working photo booth for at least 80% of the Service Period, the Client shall be refunded a prorated amount based on the amount of service received. If the printer fails to print out photos on site the Provider will be allowed to give a web site to the client where there guests can log onto and order prints free of charge with free shipping as well as the ability to download the digital files for their own use. 

8.MISCELLANEOUS TERMS

8.1If any provision of these terms shall be unlawful, void, or for any reason unenforceable under Contract Law, then that provision, or portion thereof, shall be deemed separate from the rest of this agreement and shall not affect the validity and enforceability of any remaining provisions, or portions thereof. This is the entire agreement between Provider and Client relating to the subject matter herein, is binding upon the Parties and shall not be modified except in writing, signed by both Parties.

8.2In the event of a conflict between the Parties, the Client and Provider agree to solve any arguments via arbitration.
